Vertex Pharmaceuticals agreed to acquire Crinetics Pharmaceuticals in a roughly $10 billion cash deal, expanding Vertex’s “fifth pillar” into endocrine diseases. The acquisition brings Crinetics’ approved Palsonify (paltusotine) for acromegaly and the Phase 3 asset atumelnant for congenital adrenal hyperplasia (CAH) into Vertex’s commercialization engine. Crinetics’ Palsonify, approved by the FDA in September 2025, is a once-daily oral therapy for adults with acromegaly and has shown rapid uptake in early launches. Vertex expects the two products to support peak sales potential of more than $5 billion and said the deal is designed to leverage Vertex’s rare-disease commercial infrastructure. The companies said both boards approved the transaction, which is expected to close in the third quarter of 2026. Financing is expected to combine cash with bridge funding committed by Bank of America and Morgan Stanley, setting up a key integration and regulatory timeline for Vertex’s expanded specialty portfolio.
