Vertex Pharmaceuticals agreed to buy Crinetics Pharmaceuticals in a $10 billion deal that marks the biggest acquisition in its history and adds endocrine disease to its commercial pillars. The transaction is valued at about $85 per share in cash and was unanimously approved by both boards, with closing expected in the third quarter of 2026. Crinetics brings Palsonify (paltusotine), already approved by the FDA for acromegaly, and atumelnant, a phase III asset for congenital adrenal hyperplasia (CAH). Vertex estimates combined peak sales of more than $5 billion from the two programs, positioning the endocrinology push as an extension of its specialty-market strategy. Financing is set to combine cash with $4.5 billion of bridge financing committed by Bank of America and Morgan Stanley. Vertex said its global infrastructure would help broaden reach following Palsonify’s launch and supports commercialization of atumelnant pending regulatory progress.
