Sangamo Therapeutics has filed for Chapter 11 bankruptcy and agreed to sell multiple platforms and programs via stalking-horse bids. Eli Lilly will acquire Sangamo’s capsid delivery, zinc finger nuclease (ZFN), modular integrase (MINT) platforms, and the prion disease program ST-506. Astellas will take over Sangamo’s Fabry disease program, isaralgagene civaparvovec (ST-920). Sangamo said the stalking-horse structure does not include several other assets, including ST-503 for chronic neuropathic pain, giroctocogene fitelparvovec for hemophilia A, and cell therapy/regulatory T cell (Treg) assets—these will remain available for other bidders at a future court auction. CEO Sandy Macrae framed the process as a “disciplined and efficient” path to value-maximizing transactions. The transaction ends a more than three-decade run for one of the earliest ZFN pioneers, underscoring how investor support and clinical progress have tightened for early gene-editing platforms. Companies and partners will now watch how acquired capabilities are integrated into Lilly’s and Astellas’s pipelines.
