ANI Pharmaceuticals has made a recommended public offer to acquire Egetis Therapeutics, valuing the transaction at about $560 million enterprise value terms, adjusted for Egetis’s separate priority review voucher sale for $190 million. Egetis shareholders are offered $1.13 per share in cash, plus consideration related to outstanding convertible debt and warrants, representing a premium to prior trading prices. Egetis’ lead asset Emcitate (for peripheral thyrotoxicosis in adults and pediatric patients with MCT8 deficiency) has approvals from the European Commission and the FDA, positioning it as a commercially meaningful rare disease product. ANI’s acquisition thesis centers on durable protection into 2045 supported by exclusivity and patents, with internal peak sales estimates exceeding $300 million in the approved indication. ANI framed the move as an acceleration of its transformation toward rare disease revenues, while Egetis’ board said it unanimously recommends shareholder acceptance. The deal also highlights how priority review vouchers can materially reshape deal economics. For stakeholders, the transaction is a signal that companies with already-approved orphan therapeutics continue to attract “platform adjacency” acquisitions—especially when the buyer can absorb commercialization and development capabilities quickly.
