ANI Pharmaceuticals made a recommended offer to acquire Egetis Therapeutics, while Egetis separately agreed to sell its priority review voucher for $190 million. The proposed deal values Egetis at roughly $560 million including estimated net proceeds from the voucher sale, and implies an enterprise value of about $434 million. Egetis’ lead product, Emcitate, was approved by the European Commission in 2025 and by the FDA in 2026 for peripheral thyrotoxicosis in patients with MCT8 deficiency, including pediatric and adult indications. ANI estimates peak sales potential of more than $300 million for the approved use, citing exclusivity and patent protection. The transaction is positioned as a rare-disease portfolio acceleration and a consolidation move into a higher-margin product mix.
