Ipsen agreed to acquire Memo Therapeutics and its Phase 2-ready monoclonal antibody potravitug for BK virus-associated nephropathy in immune-compromised kidney transplant patients. Ipsen will pay €700 million (US$797 million) in total deal value, including €200 million upfront to Memo shareholders and additional development, regulatory, and sales-based milestones. The companies said potravitug aims to enter a pivotal Phase 2/3 trial later this year. Ipsen also noted potravitug has fast-track designation from the FDA and orphan-drug designation from the EU, with Phase 2 evidence of viral-load suppression and resolution of biopsy-proven nephropathy. Memo’s unrelated assets and staff will be spun into a newly formed company, Memorises Bio, owned by Memo’s existing shareholders—signaling Ipsen’s focus on the single transplant-focused antiviral bet.
