Tempus AI agreed to buy Personalis in a deal valued at about $1.5 billion, extending Tempus’ reach in minimal residual disease testing. Personalis shareholders will receive $16.25 per share in the all-stock transaction, a roughly 6% premium to the prior close, with closing expected late 2026 or early 2027 pending approvals. The acquisition builds on Tempus’ existing commercial partnership with Personalis’ NeXT Personal MRD test, a tumor-informed assay based on whole-genome sequencing of patient tumors. Tempus expects the combined capabilities—sensitive MRD technology plus its multimodal data platform and precision oncology infrastructure—to support treatment selection, recurrence monitoring, and biomarker development. Personalis reported preliminary Q2 revenue of $22.4 million and delivered 10,384 tests, with volumes up year over year and quarter over quarter. Tempus said it already sees momentum from reimbursement and broader insurance coverage for MRD, setting the stage for accelerated adoption of tumor-informed approaches.
