Labcorp announced it will acquire BioReference Laboratory’s laboratory testing assets and related service operations in a deal valued at $722 million in cash at closing, with an earnout of up to $150 million tied to revenue from BioReference’s FDA-approved 4Kscore Test. Labcorp said the acquisition is intended to broaden patient and provider access to the 4Kscore diagnostic tool for predicting the likelihood of finding aggressive prostate cancer before biopsy. The transaction also includes BioReference’s clinical and women’s health testing operations, urology services, corrections services, and more than 80 patient service centers that will be folded into Labcorp’s network. Labcorp projected roughly $250 million in first-year revenue post-close based on current forecasts. Regulatory approvals and customary closing conditions remain outstanding, and both companies said services would continue unchanged until the deal closes.
