Jazz Pharmaceuticals agreed to acquire Actio Biosciences in a deal worth up to $1.3 billion, including $820 million upfront and up to $500 million in contingent payments tied to milestones. The acquisition adds ABS-1230, Actio’s KCNT1-targeting precision therapy in pivotal or near-pivotal clinical planning for a rare epilepsy subtype with no FDA-approved treatments. Jazz said ABS-1230 has demonstrated seizure reductions in an early clinical proof-of-concept trial in children with KCNT1+ epilepsy and that there is a Phase 1b/2a program underway to support a potential regulatory push. The deal also contemplates a spinout of another Actio program funded by existing investors. For the epilepsy market, the transaction extends Jazz’s strategy built on severe, rare CNS disorders—following prior acquisitions that bolstered its anti-seizure portfolio—and underscores continued investor appetite for late-stage clinical momentum in genetic epilepsy.
