Incyte has agreed to acquire Vega Therapeutics for up to $2 billion, aiming to strengthen its hematology pipeline with VGA039, a Phase III von Willebrand disease (VWD) candidate. Vega is a Star Therapeutics subsidiary, and VGA039 is designed to modulate Protein S to improve hemostasis. The transaction centers on the development of a more convenient, potentially monthly subcutaneous prophylactic regimen. That dosing goal contrasts with existing VWD prophylaxis approaches that typically require intravenous infusions multiple times per week. Incyte positioned VGA039 as a “first-in-class” growth driver with an estimated $1B+ global net sales opportunity, while acknowledging execution milestones through Phase III completion and regulatory review. The deal is expected to close in the third quarter of 2026, subject to customary conditions.
