Ipsen announced plans to acquire Memo Therapeutics for about €700 million (US$797 million), adding potravitug, a phase 2-ready monoclonal antibody targeting BK virus-associated infections and nephropathy in immune-compromised kidney transplant patients. Ipsen expects the deal to close in the third quarter, with €200 million due at closing and up to €500 million tied to development, regulatory, and sales milestones. Potravitug is designed to prevent BK polyomavirus infection and replication in the transplant setting, where there are currently no targeted approved therapies. Memo reported that the antibody suppressed viral load and enabled biopsy-proven resolution of BKPyV-associated nephropathy in a Phase 2 study, with no serious side effects highlighted in the deal materials. Ipse n characterized the potravitug evidence base as supporting initiation of a pivotal Phase 2/3 trial later this year. The transaction also includes a corporate carve-out, with Memo’s other assets and employees moving into a newly formed company, Memorises Bio, owned by Memo shareholders. The Memo acquisition further strengthens Ipsen’s rare disease pipeline in an area driven by transplant complications and limited therapeutic options, while emphasizing late-stage clinical readiness and regulatory path planning.
