Labcorp moved to deepen its diagnostics presence with an agreement to absorb BioReference assets in a deal valued at $722 million. The transaction targets BioReference’s laboratory testing operations spanning clinical and women’s health testing, urology and corrections services, plus additional patient service centers expected to integrate into Labcorp’s network. A key component is the FDA-approved 4Kscore Test, designed to predict the likelihood of detecting aggressive prostate cancer before biopsy. Labcorp said expanding access to 4Kscore and other specialty testing capabilities will broaden patient and provider reach, while maintaining existing services until regulatory approvals and customary closing conditions are met. The deal structure includes an earnout of up to $150 million tied to revenue from the 4Kscore Test. Labcorp projected approximately $250 million in revenue during the first year post-close based on forecasts.
