Jazz Pharmaceuticals agreed to acquire Actio Biosciences in a deal that could total more than $1.3 billion, adding a clinical-stage precision therapy targeting KCNT1-related epilepsy. Under the terms, Actio shareholders will receive $820 million upfront, plus up to $500 million in additional payments tied to milestones. Actio’s lead asset, ABS-1230, is in clinical testing for KCNT1+ epilepsy, a rare genetic epilepsy with no FDA-approved treatments. Jazz said the acquisition supports its neuroscience strategy and complements its existing epilepsy franchise, including Epidiolex. The companies expect to close in the final three months of the year, with Actio spinning out another program concurrently. —
