Tempus AI agreed to acquire Personalis in a deal valued at about $1.5 billion net of Tempus’ existing stake, expanding its minimal residual disease (MRD) platform. Under the terms, Personalis shareholders will receive $16.25 per share, a roughly 6% premium to the company’s Friday close, with the transaction expected to close late 2026 or early 2027 subject to approvals. The acquisition builds on a commercial partnership that began in November 2023, when Tempus invested in Personalis and co-commercialized its NeXT Personal tumor-informed MRD assay. Tempus said combining that technology with its multimodal data platform and AI capabilities will support biomarker discovery and personalized cancer care. Personalis reported preliminary second-quarter revenue of $22.4 million and delivered 10,384 clinical tests, reflecting growth in adoption. Tempus also plans to complement its tumor-naive MRD offering with Personalis’ tumor-informed approach as payer and insurance coverage continues to expand.
