Merck KGaA agreed to acquire Silence Therapeutics for $1.3 billion in an all-cash deal, adding a late-stage rare hematology asset to its pipeline. Shareholders of Silence will receive $20.00 per ADS, about 48% above Silence’s prior public offering price, and the transaction is expected to close in the first quarter of 2027. The acquisition brings Divesiran, Silence’s siRNA candidate for polycythemia vera (PV), which is designed to silence TMPRSS6 to raise hepcidin and reduce iron availability for red blood cell production. Merck said PV has major unmet needs and that Divesiran offers a biologically validated entry point into hematology. Merck and Silence will operate independently until deal close, with continued focus on building around specialty and rare diseases. For investors and competitors, the strategic implication is clear: rare-disease M&A remains a primary mechanism for adding differentiated mechanisms beyond growth moneymakers.
