Tempus AI agreed to acquire Personalis for $1.5 billion, extending its reach in minimal residual disease (MRD) testing and precision oncology. Under the terms, Personalis shareholders will receive $16.25 per share, a roughly 6% premium, with closing expected in late 2026 or early 2027, subject to approvals. The deal builds on a commercial partnership dating to November 2023 in which Tempus co-commercialized Personalis’ tumor-informed NeXT Personal MRD assay. Tempus said the combined offering will pair highly sensitive MRD technology with its multimodal data platform and AI capabilities for biomarker discovery and treatment selection. Personalis has been gaining insurance coverage momentum, including Medicare coverage in multiple indications, and reported preliminary second-quarter revenue of $22.4 million with 10,384 tests delivered. Tempus said this acquisition supports a shift in clinical adoption toward tumor-informed assays, while it continues investing in tumor-naive MRD capabilities. For biotech and medtech stakeholders, the transaction signals continued consolidation in cancer diagnostics infrastructure as MRD becomes a more central decision layer in oncology care and trial design.
